Party B guarantees that the communication cables will meet the specific quality standards specified in Annex B. In the event that the cables fail to meet these standards, Party B shall be responsible for replacing or refunding the affected cables.

6、Confidentiality

Both parties shall maintain the confidentiality of any information related to this contract that is not publicly available. This provision shall survive the termination of this contract.

7、Force Majeure

Neither party shall be liable for failure to perform its obligations under this contract due to force majeure events, such as natural disasters, acts of war, riots, or government action. The affected party shall notify the other party of the event and its expected duration.

8、Dispute Resolution

Any disputes arising from this contract shall be resolved through friendly negotiation. If negotiation fails, the dispute shall be submitted to the International Chamber of Commerce (ICC) for arbitration in accordance with the ICC Rules of Arbitration. The arbitration award shall be final and binding on both parties. The arbitration proceedings shall take place in Beijing, China.

9、Law and Jurisdiction

This contract shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from or in connection with this contract that are not subject to arbitration under Clause 8 shall be subject to the jurisdiction of the courts of Beijing, China.

10、Miscellaneous

This contract constitutes the entire agreement between the parties with respect to the purchase of communication cables and supersedes all prior agreements and understandings, whether written or oral, between the parties with respect to the same subject matter. This contract may not be modified except by a written amendment signed by both parties.

11、Counterparts and Execution

This contract may be executed in counterparts, each of which shall be deemed an original and all of which, when taken together, shall be deemed to be one and the same instrument. This contract shall become effective when both parties have signed it.
