3. Contract Duration and Payment

4. Quality Assurance

6. Liability and Indemnification

The Contractor shall be fully responsible for any damage or loss caused to the Client due to negligence or breach of contract by the Contractor or its personnel. The Contractor shall indemnify the Client against any claims, proceedings, or judgments arising out of such damage or loss.

7. Termination

This contract may be terminated by either party giving written notice to the other if:

(a) The other party commits a material breach of contract;

(b) The other party becomes insolvent or is subject to bankruptcy proceedings; or

(c) For any other reason beyond the control of both parties.

8. Governing Law and Jurisdiction

This contract shall be governed by and construed in accordance with the laws of _________ . Any dispute arising out of or in connection with this contract shall be subject to the exclusive jurisdiction of the courts of _________ .

9. Miscellaneous
