Contract for Coal Mine Hydrological Monitoring System
The contract for the coal mine hydrological monitoring system is an essential agreement between the coal mine operator and the supplier of the system. This contract is made by and between Party A, the buyer, and Party B, the seller, regarding the purchase and sale of a coal mine hydrological monitoring system. In consideration of the mutual promises and agreements contained herein, the parties hereby agree as follows:
1、Scope of Work: Party B shall design, manufacture, install, test, and commission a coal mine hydrological monitoring system for Party A. The system shall be capable of continuously monitoring and recording water levels, flow rates, and other relevant hydrological parameters in the coal mine.
2、Project Management: Party B shall appoint a project manager to oversee the design, manufacture, installation, testing, and commissioning of the system. Party A shall appoint a representative to work closely with the project manager and provide necessary assistance to ensure the successful completion of the project.
3、Timeline: The system shall be designed, manufactured, installed, tested, and commissioned within six months from the date of signing this contract.
4、Payment Terms: Party A shall pay Party B an amount of $XXXXXXX upon the signing of this contract. The remaining balance of $XXXXXXX shall be paid upon the successful completion of the project.
5、Warranties: Party B warrants that the system shall be free from defects in material and workmanship for a period of one year from the date of commissioning. In case of any defect, Party B shall be responsible for repairing or replacing the defective parts free of charge.
6、Indemnification: Party A shall indemnify and hold harmless Party B from any and all claims, suits, or judgments arising out of the negligence or willful misconduct of Party A or its representatives.
7、Dispute Resolution: Any dispute arising out of or in connection with this contract shall be settled through friendly negotiation. If negotiation fails, the dispute shall be submitted to the International Chamber of Commerce (ICC) for arbitration in accordance with the ICC Rules of Arbitration. The arbitration award shall be final and binding on both parties.
8、Applicable Law: This contract shall be governed by and construed in accordance with the laws of the country where the coal mine is located.
9、Entire Agreement: This contract constitutes the entire agreement between the parties with respect to the subject matter hereof and supercedes all prior agreements, understandings, and negotiations, whether oral or written, between them.
10、Counterparts: This contract may be executed in any number of counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.
11、Modification: This contract may be modified only by a written instrument executed by both parties.
