This Hydrological Monitoring Commission Agreement (hereinafter referred to as the "Agreement") is made and executed by and between the parties specified below, in accordance with the principles of honesty and trustworthiness, mutual benefit, and common development.

1、Parties to the Agreement:

(1) The first party is ______________________ (hereinafter referred to as "Party A"), a legal entity with a registered address at ______________________, and a copy of its business license attached hereto.

(2) The second party is ______________________ (hereinafter referred to as "Party B"), a legal entity with a registered address at ______________________.

2、Objectives of the Agreement:

The parties, in order to effectively implement hydrological monitoring activities, promote the exchange and sharing of monitoring data, and improve the level of water resource management, have agreed to collaborate on this project.

3、Scope of the Agreement:

(1) Party B shall be responsible for the construction and maintenance of the hydrological monitoring facilities, including but not limited to river flow meters, water level meters, and water quality analyzers.

(2) Party A shall be responsible for providing the necessary equipment and manpower support for the construction and maintenance of the monitoring facilities.

(3) Both parties shall work together to ensure the accuracy and reliability of the monitoring data, as well as its timely transmission and analysis.

4、Terms of the Agreement:

(1) The term of this Agreement shall be for a period of _________ years, commencing on the date of its execution and terminating on the date specified therein.

(2) Either party may terminate this Agreement upon written notice to the other party if there is a material breach by one party of its obligations under this Agreement.

(3) All disputes arising from or in connection with this Agreement shall be resolved through friendly negotiation between the parties. If negotiation fails, the dispute shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration. The arbitration shall be conducted in accordance with its arbitration rules in effect at the time of arbitration.

5、Confidentiality:

Both parties shall keep confidential all information exchanged during the performance of this Agreement, except for information that is required to be disclosed by law or regulatory authorities.

6、Force Majeure:

Neither party shall be liable for any failure to perform its obligations under this Agreement due to force majeure events, such as natural disasters, government actions, wars, or other events that are beyond its reasonable control.

7、Miscellaneous:

(1) This Agreement constitutes the entire agreement between the parties with respect to the hydrological monitoring activities contemplated herein and supersedes all prior agreements and understandings between them.

(2) No modification or amendment of this Agreement shall be effective unless made in writing and signed by both parties.

(3) This Agreement shall be governed by and construed in accordance with the laws of the People's Republic of China. All disputes arising from or in connection with this Agreement that are not resolved by negotiation shall be resolved by the People's Court located in ______________.

(4) This Agreement is made in duplicate, with each party retaining one copy. Both copies shall have the same legal effect.
