III. Terms and Conditions of Sale

1、Payment: The Buyer shall make payment through bank transfer within 30 days of receiving the invoice. All banking charges shall be borne by the Buyer.

2、Delivery: The Seller shall make deliveries from its warehouse in Kunming to the Buyer's designated location. All transportation costs shall be borne by the Seller.

3、Risk: The risk of loss or damage to the cables during transportation shall be borne by the Seller. The Buyer shall be responsible for damage to the cables caused by improper handling or storage.

All disputes arising out of or in connection with this contract shall be governed by Chinese law and submitted to arbitration at Kunming Arbitration Commission in accordance with its arbitration rules in effect at the time of arbitration. The award shall be final and binding on both parties and may be enforced in any court having jurisdiction over the parties and/or their assets. The United Nations Convention on Contracts for the International Sale of Goods is hereby excluded from application to this contract.
