2. Term of Agreement
This Agreement shall be effective from the date of execution and shall continue for a period of three (3) years. After the expiration of this term, the parties may negotiate a renewal of the Agreement if desired.
3. Fees and Payment
The Company shall receive a fixed annual fee from the Customer for the operation and maintenance of the communication cables. This fee shall be paid in advance on a yearly basis. The Company shall provide an invoice to the Customer at the beginning of each year, and the Customer shall make payment within thirty (30) days of receipt of the invoice.
4. Responsibilities of the Company
The Company shall be responsible for the following aspects of communication cable operation and maintenance:
Monitoring the health and performance of the cables on a daily basis.
Troubleshooting and diagnosing any issues that may arise with the cables.
Repairing or replacing any damaged or defective cables in a timely manner.
Performing regular maintenance on the cables to ensure their continued performance.
Providing monthly reports to the Customer on the status of the cables.
5. Responsibilities of the Customer
The Customer shall be responsible for the following aspects of communication cable management:
Ensuring that the premises where the cables are located are safe and secure.
Providing any necessary access to the cables for the Company to perform maintenance and repairs.
Responding to any requests from the Company for information or assistance related to the cables.
Abiding by all applicable laws and regulations related to the ownership and use of communication cables.
6. Confidentiality
Both parties shall maintain the confidentiality of all information related to this Agreement and the operation of the communication cables. Neither party shall disclose any confidential information to third parties without the express permission of the other party.
7. Termination of Agreement
This Agreement may be terminated by either party at any time for any reason upon written notice to the other party. In the event of termination, all outstanding fees shall be due and payable immediately, and the Company shall have no further obligation to perform under this Agreement. The Customer shall be responsible for any damages or losses incurred as a result of termination of this Agreement.
8. General Provisions
